The constitution was last updated 15/05/2003 when it was approved at a General Meeting of the Association held at North Shields. 

1. Name.

The name of the group shall be Preston Residents Association (the Association)

2. Objects.

The objects of the group are:

To promote the benefits of the residents of the Preston Area (North Tyneside) by working in partnership wiht the Local Statutory Authorities, Voluntary Organisations and the Communitiy in a common effort to improve the conditions of life for all of the inhabitants without distinction of age, sex, race, political or religious belief or other opinion.

3. Powers

In order to further the objects the group shall have the power to

3.1 Use and pay external services

3.2 Acquire and dispose of property (subject to any consents required by law)

3.3 Invest funds in any lawful manner provided that professional investment advice is obtained whenever it is prudent ot do so

3.4 Raise funds by any lawful means except permanent trading

3.5 Accept gifts either for the general purposes of the Association or for a specific purpose within or connected with the Objects of the Association

3.6 Do anything within the law which is necessary in carrying out the Objects

4. Membership

4.1 Membership shall be open to any individual aged 18 or over or organisational representative who agrees with the objects of the group and pays any subscription set by the Committee.

4.2 Every member shall have one vote

4.3 If the Committee consider that a member’s conduct is harmful to the Association it may require the member concerned to put his, her or its case to a meeting of the Committee

4.4 Where the Committee is satisfied after hearing the case put by or on behalf of the member concerned

5. The Committee

5.1 The Association shall be managed by a Committee of not less than five and not more than fifteen members who will be elected on an annual basis at the Annual General Meeting (AGM)

5.2 The Committee’s officers shall include a Chair, Secretary and Treasurer and any other officers that the Committee shall decide

5.3 The Committee shall meet not less than four times a year and a formal record of the meetings shall be kept

5.4 Five members shall be a quorum

5.5 Each member shall have one vote, and if the vote is tied, the Chair shall have a second casting vote

5.6 The Committee shall have the power to co-opt up to three members onto the Committee to fill vacant places until the next AGM or to assist the Committee in the proper running of the Association. Each co-opted mmeber has one vote.

6. General Meetings

6.1 The secretary shall give 21 days notice of a General meeting to all members

6.2 All members shall be entitled to attend and vote at the meeting

6.3 Twenty members, or a quarter of the membership, whichever is the smaller, shall be a quorum

6.4 A formal record of a General meeting shall be kept and minutes available to all members on request

6.5 The Annual General Meeting (AGM) shall be held in May every year or as soon as possible afterwards, when a report of the year’s activities and accounts shall be presented and nominations for Officers and Committee Members shall be made

6.6 Any member of the Association may nominate any other member of the Association for election to the Committee, with the consent of that nominee

6.7 Officers and Committee members will be elected on a show of hands and serve from the end of the AGM to the end of the following AGM

 6.8 A Special General meeting can be called at any time by the Committee.  If twenty members request such ameeting in writing, the Secreatry must call one.

7. Finance

7.1 All funds belonging to or raised for the Association must be used in furthering the Objectives of the Association

7.2 The Treasurer shall keep an account of all income and expenditure and shallpresent examined accounts at the AGM

7.3 An Independent Examiner, who is not a member of the Association, shall be appointed to examine the accounts

7.4 There shall be one or more bank or building society accounts in the name of the Asociation. No withdrawals shall be made without the approval of the Committee

7.5 Cheques must be signed by two Committee members, who must not be related. The signatures shall be a commbination of the following: The Chairperson, The Secretary, The Treasurer

7.6 Committee members may claim reasonable out-of-pocket expenses on terms approved by the Committee. No other payments shall be made to members of the Association.

8. Amendments

The constitution may be amended by a two-thirds majority of members present at a General Meeting, provided that 21 days notice of the proposed amendment has been sent to all members

9. Dissolution

9.1 A resolution to dissolve the group must be approved by a two thirds majority of members present and voting at a General Meeting provided that 21 days notice of the proposed dissolution has been sent to all members

9.2 In the event of a resolution to dissolve the group, any assets remaining afterthe clearing of all debts and liabilities shall be given to a group having similar objects, or, if this cannot be done, to any charitable organisation.

A copy of this constitution shall be available to all members
